- Use the website in any manner that violates applicable laws or regulations.
- Attempt to gain unauthorised access to any part of the website or its underlying systems.

4. User Responsibilities
When submitting inquiries, project details, or engaging with NYRON for services, you are responsible for providing accurate, complete, and up-to-date information. You agree to use our services lawfully and in compliance with all applicable laws and regulations. If you are acting on behalf of a company or organisation, you represent that you have the authority to enter into agreements on their behalf.
5. Quotes, Proposals & Project Scope
Any quotation, proposal, or project estimate provided by NYRON is based on the information available at the time and does not constitute a binding agreement until both parties have signed a formal project agreement, statement of work, or engagement letter.
Project scope, deliverables, timelines, and pricing are defined in the agreed proposal or contract. Changes to the agreed scope may affect timelines and pricing and will be handled through a formal change request process as outlined in the relevant project agreement.
6. Payments & Fees
Payment terms, fees, invoicing schedules, and refund or cancellation policies are determined on a project-by-project basis and outlined in the applicable project agreement or proposal. As NYRON is at an early stage of operations, specific payment structures are discussed and agreed upon directly with each client before work begins.
General terms that apply unless otherwise agreed: invoices are payable within the timeframe specified in the project agreement; applicable taxes are the responsibility of the client; and services may be paused or discontinued for non-payment. All pricing and payment terms are subject to mutual written agreement.
7. Intellectual Property
The NYRON website, branding, logo, design, written content, and all associated materials are the exclusive intellectual property of NYRON and are protected by applicable copyright, trademark, and intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any NYRON website content without prior written permission.
8. Client Project Deliverables
Upon full payment of all fees as specified in the applicable project agreement, NYRON transfers ownership of the agreed project deliverables — including source code, designs, and custom-built components — to the client, unless otherwise specified in the signed project agreement.
NYRON retains ownership of any general-purpose tools, frameworks, libraries, pre-existing code, or internal development utilities used during the project, unless explicitly agreed otherwise in writing. Third-party open-source components remain subject to their respective licences.
9. Third-Party Tools & Services
NYRON projects may incorporate third-party platforms, APIs, and services, including but not limited to Shopify, WooCommerce, OpenAI, Google Cloud, AWS, Vercel, MongoDB Atlas, Stripe, and other technology providers. These third-party services are governed by their own terms of service, privacy policies, and licensing agreements.
NYRON is not responsible for the availability, reliability, security, or changes to third-party services. Clients are responsible for maintaining valid accounts, licences, and subscriptions with any third-party platforms required for their project.
10. AI-Related Limitations
NYRON develops AI-powered solutions using large language models, machine learning frameworks, retrieval-augmented generation systems, and computer vision models. By their nature, AI systems may produce outputs that are inaccurate, incomplete, biased, or unexpected.
Clients acknowledge that AI outputs should be reviewed by qualified human reviewers before being used in business decisions, customer-facing communications, or other high-stakes contexts. NYRON does not warrant that AI systems will produce accurate, reliable, or error-free results in all circumstances.
11. Confidentiality
NYRON treats all client project information, business requirements, data, and materials as confidential and does not disclose them to third parties without the client's consent, except as required by law or as necessary to deliver the agreed services. Clients are similarly expected to keep any proprietary NYRON methodologies, pricing, or internal processes confidential. Specific confidentiality obligations for a project may be detailed in a separate non-disclosure agreement if required.
12. Warranties Disclaimer
The NYRON website and related information are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. NYRON does not warrant that the website will be uninterrupted, error-free, or free from harmful components. For specific project deliverables, any applicable warranties are defined in the relevant project agreement.
13. Limitation of Liability
To the maximum extent permitted by applicable law, NYRON shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or in connection with the use of our website or services, including but not limited to loss of revenue, loss of data, loss of business opportunity, or reputational harm. In no event shall NYRON's total liability to a client exceed the total fees paid by that client for the specific services giving rise to the claim.
14. Indemnification
You agree to indemnify, defend, and hold harmless NYRON and its team members from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your use of the website, your violation of these Terms, your misuse of our services, or your infringement of any third-party rights.
15. Suspension or Termination
NYRON reserves the right to suspend or terminate access to the website or services, without notice, if we reasonably believe that you have violated these Terms, engaged in unlawful conduct, or acted in a manner harmful to NYRON or other parties. Project-specific termination rights and obligations are governed by the relevant project agreement.
16. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the applicable laws of the jurisdiction in which NYRON is legally registered and operates. Any disputes arising out of or in connection with these Terms or our services shall be subject to the exclusive jurisdiction of the competent courts in that jurisdiction. We encourage parties to first attempt resolution through good-faith discussion before initiating formal legal proceedings.
17. Changes to Terms
NYRON may update these Terms of Service from time to time to reflect changes in our business, services, or applicable legal requirements. When we make material changes, we will update the "Last Updated" date at the top of this page. Your continued use of the website or services after any changes constitutes your acceptance of the revised Terms.
